Terms of Service
IMPORTANT:
PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE VACHI AI SERVICE. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THE SERVICE.
This document outlines the terms and conditions governing your use of the Vachi AI web portal, applications, and related services (collectively, the "Service"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Vachi AI ("Vachi AI," "we," "us," or "our").
1. Introduction
These Terms govern your access to and use of the Vachi AI Service. By registering for, accessing, or using the Service, you signify your acceptance of these Terms. If you are using the Service on behalf of an entity (such as your employer or a company), you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" as used herein will refer to that entity.
2. Definitions
- "Service" refers to the Vachi AI web portal, applications, features, and any related services provided by Vachi AI.
- "User," "You," "Your" refers to the individual or entity accessing or using the Service.
- "Account" refers to the user account created to access and use the Service.
- "Work Graph" refers to the interconnected data model created by Vachi AI, derived from your Connected Services Data, to provide intelligent insights, automation, and context.
- "Connected Services" refers to third-party applications and platforms (e.g., email, calendar, chat, project management tools, CRM systems) that you authorize Vachi AI to connect with and access your data from.
- "Connected Services Data" refers to the data, content, and information accessed by Vachi AI from your Connected Services.
- "AI-Generated Content" refers to summaries, drafts, action items, reports, and other content generated by Vachi AI based on its processing of your Connected Services Data.
3. Account Registration and Access
3.1 Eligibility
You must be at least 18 years old to use the Service. By creating an Account, you represent and warrant that you meet this age requirement.
3.2 Account Creation
To access and use the Service, you must register for an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your Account login credentials and for all activities that occur under your Account. You agree to notify Vachi AI immediately of any unauthorized use of your Account or any other breach of security. Vachi AI will not be liable for any loss or damage arising from your failure to comply with this security obligation.
3.4 Activation
Access to the full Service may require a manual activation process by Vachi AI. Your registration does not guarantee immediate access. You will be notified via email upon successful activation.
4. Use of the Service
4.1 Permitted Use
You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes, subject to these Terms.
4.2 Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law.
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Interfere with or disrupt the integrity or performance of the Service or data contained therein.
- Attempt to gain unauthorized access to the Service or its related systems or networks.
- Use the Service to transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service or any part thereof.
- Use the Service for any competitive analysis or to build a competing product or service.
- Scrape, crawl, or use any automated means to access or query any part of the Service.
4.3 Compliance with Third-Party Terms
When using the Service to interact with Connected Services, you agree to comply with all applicable terms of service and privacy policies of those third-party services.
5. User Content and Data
5.1 Connected Services Data
- Authorization: To provide the Service, Vachi AI requires access to your Connected Services Data. By connecting your third-party accounts, you explicitly authorize Vachi AI to access, process, store, and analyze your Connected Services Data in accordance with these Terms and our Privacy Policy.
- Ownership: You retain all ownership rights to your Connected Services Data. Vachi AI does not claim any ownership over your Connected Services Data.
- License to Vachi AI: You grant Vachi AI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Connected Services Data solely for the purpose of operating, improving, and providing the Service to you. This includes, but is not limited to, building your Work Graph, generating AI-Generated Content, and personalizing your experience.
5.2 AI-Generated Content
Vachi AI generates content (e.g., summaries, drafts, action items) based on your Connected Services Data. While Vachi AI aims for accuracy, AI-Generated Content may not always be perfect, complete, or free from errors. You are solely responsible for reviewing and verifying the accuracy and appropriateness of any AI-Generated Content before relying on it or taking action based on it.
You own the AI-Generated Content that is derived from your Connected Services Data.
5.3 Data Privacy
Your privacy is important to us. Our collection, use, and disclosure of your data, including Connected Services Data, are governed by our separate Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you agree to the terms of our Privacy Policy.
6. Intellectual Property
6.1 Vachi AI Intellectual Property
The Service, including all software, technology, content, graphics, user interfaces, and other materials provided by Vachi AI (excluding your Connected Services Data and AI-Generated Content derived therefrom), are the exclusive property of Vachi AI and its licensors. This includes all intellectual property rights, such as copyrights, trademarks, patents, and trade secrets. You may not use Vachi AI's intellectual property without our prior written consent.
6.2 Your Intellectual Property
You retain all intellectual property rights in your Connected Services Data and any original content you create using the Service, subject to the licenses granted to Vachi AI in Section 5.1.
7. Third-Party Services
7.1
The Service integrates with various third-party applications and services (e.g., Google Workspace, Microsoft 365, Slack, Jira). Your use of these third-party services is governed by their respective terms of service and privacy policies. Vachi AI is not responsible for the practices of third-party services.
7.2
Vachi AI makes no representations or warranties regarding the availability, functionality, or security of any third-party services or the accuracy of data obtained from them.
8. Fees and Payment
8.1 Subscription Plans
Access to certain features of the Service may require a paid subscription. Details of subscription plans, pricing, and billing terms will be provided on the Vachi AI website or within the Service.
8.2 Billing
By selecting a paid subscription, you agree to pay Vachi AI all applicable fees for the chosen plan. All fees are non-refundable unless otherwise stated in a separate agreement.
8.3 Changes to Fees
Vachi AI reserves the right to change its pricing and billing methods at any time upon reasonable notice.
9. Disclaimers of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VACHI AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. VACHI AI DOES NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VACHI AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF VACHI AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
IN NO EVENT SHALL VACHI AI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO VACHI AI FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO VACHI AI, AS APPLICABLE.
11. Indemnification
You agree to indemnify, defend, and hold harmless Vachi AI, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your Account's) violation of these Terms or your use of the Service.
12. Termination
12.1 By You
You may stop using the Service and terminate your Account at any time by contacting Vachi AI support. Termination of your Account will result in the deletion of your Connected Services Data and Work Graph data, subject to our data retention policies outlined in the Privacy Policy.
12.2 By Vachi AI
Vachi AI may suspend or terminate your access to the Service, in whole or in part, at any time, with or without cause, and with or without notice, effective immediately. Reasons for termination may include, but are not limited to, your breach of these Terms, non-payment of fees, or conduct that Vachi AI determines to be harmful to its business or other users.
12.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability, shall survive termination.
13. Changes to Terms
Vachi AI reserves the right to modify or revise these Terms at any time. We will notify you of any material changes by posting the new Terms on the Service or by sending you an email notification. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
14.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be finally settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in San Francisco, California. The decision of the arbitrator shall be final and binding upon the parties.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vachi AI regarding the use of the Service.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
15.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Vachi AI's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Vachi AI may freely assign or transfer these Terms without restriction.
